David L. Morehous
Managing Counsel
Mr. Morehous is our Managing Counsel and founder. Prior to founding Morehous Legal Group, he held in-house positions with the US healthcare subsidiaries of Germany’s Siemens AG from 2005 to 2012, most recently serving as lead counsel for the worldwide Molecular Imaging business unit of Siemens’s Healthcare sector.
From 2003 to 2005, he was Staff Attorney and Assistant General Counsel with CTI Molecular Imaging, Inc., a Nasdaq-listed manufacturer of positron emission tomography medical imaging equipment and related products, which was acquired by Siemens in 2005.
Prior to joining CTI, Mr. Morehous was an associate with the Knoxville office of Baker, Donelson, Bearman, Caldwell & Berkowitz, P.C. from 1999 to 2003, where his practice concentrated in the areas of corporate and securities law and e-business. He began his career with Calfee, Halter & Griswold LLP in Cleveland, Ohio.

- Managed acquisition of Internet payroll company by industry leader in payroll processing services
- Part of team that represented interstate trucking company in sale of assets through bankruptcy
- Part of team that represented beer distributor in sale of business to competitor
- Part of team that represented CTI Molecular Imaging, Inc. in sale to Siemens Medical Solutions USA, Inc.
- Managed divestitures of selected PET radiopharmacy facility assets by Siemens subsidiary
Joint Ventures
- Organized joint venture to develop and operate restaurant/nightclub in Knoxville, with potential expansion to additional locations
- Negotiated joint venture agreements between Siemens subsidiaries and universities or hospitals for financing, construction, and leasing of PET radiopharmacy facilities, including sites in Knoxville, Nashville, Detroit, Albuquerque, Sacramento, Minneapolis, and Cleveland
Private Placements
- Prepared private placement memoranda and related contracts for multiple rounds of financing for Internet grocery-shopping company

- Negotiated OEM manufacturing and distribution agreements to obtain outsourced manufacturing of medical-imaging systems
- Negotiated strategic purchasing agreement for supply of critical rare-earth material (annual purchase volume > $100 million)
- Negotiated research and development collaborations between start-up diagnostic pharmaceutical company and large pharmaceutical companies
